Terms & Conditions

1. ACCEPTANCE OF TERMS

By accessing, browsing, or placing an order through the BACKINFIVE website (the "Site") or purchasing products from BACKINFIVE LLC ("Company," "we," "us," or "our"), you ("Customer," "you," or "your") agree to be bound by these Terms and Conditions of Service (the "Terms"). If you do not agree to these Terms, you may not access the Site or purchase products from BACKINFIVE.

These Terms constitute a legally binding agreement between you and BACKINFIVE LLC. We reserve the right to modify, amend, or update these Terms at any time without prior notice. Your continued use of the Site or purchase of products after such modifications constitutes acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

2. CUSTOM PRODUCT ORDERS

All BACKINFIVE window shades are custom-manufactured products made to order based on specifications provided by the Customer, including but not limited to measurements, fabric selections, color choices, motorization options, and mounting preferences (collectively, "Custom Specifications").

2.1 Order Acceptance All orders are subject to acceptance by BACKINFIVE. We reserve the right to refuse or cancel any order for any reason, including but not limited to product availability, errors in pricing or product information, suspected fraudulent activity, or failure to meet our credit or verification requirements. If your order is cancelled after payment has been processed, we will issue a full refund.

2.2 Order Cancellation Due to the custom nature of our products, orders enter production immediately upon placement. Customers may cancel orders within four (4) hours of order placement for a full refund. After this four-hour window, orders cannot be cancelled once production has commenced. BACKINFIVE is not obligated to cancel orders after production has begun.

2.3 Order Modifications Order modifications may be possible if requested immediately after order placement and before production begins. Contact customer support immediately if changes are needed. Modifications requested after production has commenced may not be possible. If modifications are accommodated, additional fees may apply, and original timelines may be extended.

2.4 Customer Responsibility for Accuracy You are solely responsible for providing accurate Custom Specifications, including measurements, fabric selections, colors, and installation type (inside mount or outside mount). BACKINFIVE is not liable for any errors, damages, or losses resulting from inaccurate information provided by the Customer. We strongly recommend following our measurement guides and consulting with our team if you have questions.

3. PRICING AND PAYMENT

3.1 Pricing All prices listed on the Site are in U.S. Dollars (USD) and are subject to change without notice. The price you pay is the price displayed at checkout at the time of purchase. BACKINFIVE reserves the right to modify pricing at any time. Price changes will not affect orders already placed and confirmed.

3.2 Payment Methods We accept payment via major credit cards (Visa, MasterCard, American Express, Discover), debit cards, and PayPal. Payment is due in full at the time of order placement. Orders will not enter production until payment has been successfully processed and verified.

3.3 Payment Processing All payments are processed through secure third-party payment processors. BACKINFIVE does not store your credit card information. By providing payment information, you represent and warrant that you are authorized to use the payment method provided and that all payment information is accurate and current.

3.4 Sales Tax Applicable sales taxes will be calculated and charged at checkout based on your shipping address and local tax rates. You are responsible for paying all applicable taxes.

4. SHIPPING AND DELIVERY

4.1 Production Time Custom shades typically require five to seven (5-7) business days for production after order confirmation. Production times may vary based on order volume, fabric availability, or other factors beyond our control.

4.2 Shipping Time After production is complete, products are shipped via express carrier (UPS, FedEx, DHL, or USPS). Standard shipping to addresses in the continental United States typically takes seven to ten (7-10) business days. Total time from order placement to delivery is generally two to three (2-3) weeks.

4.3 Shipping Costs BACKINFIVE offers free standard shipping to all addresses within the continental United States. Shipping to Alaska, Hawaii, U.S. territories, and remote locations may incur additional fees, which will be calculated at checkout.

4.4 Delivery Products will be delivered to the shipping address provided at checkout. You are responsible for ensuring the accuracy of the shipping address. BACKINFIVE is not responsible for delays, losses, or damages resulting from incorrect addresses provided by the Customer.

4.5 Tracking Information A tracking number will be provided via email once your order has shipped. You may use this tracking number to monitor the status of your delivery.

4.6 Delivery Delays While we strive to meet estimated delivery times, BACKINFIVE is not liable for delays caused by carrier issues, customs clearance (for international orders), extreme weather, natural disasters, labor disputes, or other events beyond our reasonable control (force majeure events).

4.7 Undeliverable or Refused Packages If a package is returned to us as undeliverable due to an incorrect address, refusal of delivery, or failure to claim the package, the Customer will be responsible for reshipping fees. Refunds will not be issued for refused or unclaimed packages.

4.8 Lost or Stolen Packages Once a package is marked as delivered by the carrier, BACKINFIVE is not responsible for lost or stolen packages. Customers should contact the shipping carrier to file a claim for missing packages. We recommend customers require signature confirmation for high-value orders.

5. RETURNS, EXCHANGES, AND REFUNDS

5.1 No Returns Policy Due to the custom-made nature of BACKINFIVE products, all sales are final. We do not accept returns, exchanges, or provide refunds for any reason except as explicitly stated in these Terms or as required by applicable law.

5.2 Defective or Damaged Products If you receive a product that is defective, damaged in transit, or does not match your Custom Specifications (incorrect size, color, or fabric), you must notify BACKINFIVE within seven (7) days of delivery. Notification must include:

  • Your order number
  • Photographs or video clearly showing the defect or damage
  • Description of the issue

BACKINFIVE will review your claim and, if approved, will provide a replacement product or repair at no cost to the Customer. We reserve the right to request the return of defective or damaged products before issuing a replacement.

5.3 Exceptions BACKINFIVE will not provide replacements, repairs, or refunds for:

  • Damage caused by improper installation
  • Normal wear and tear
  • Damage caused by misuse, abuse, or failure to follow care instructions
  • Products that have been altered or modified
  • Claims submitted more than seven (7) days after delivery

6. WARRANTY

6.1 Limited Warranty Coverage BACKINFIVE provides a limited two (2) year warranty from the date of delivery on all motorized window shades. This warranty covers manufacturing defects and motor malfunctions under normal residential use.

Covered components include:

  • Electric motors
  • Rechargeable batteries and charging components
  • Mounting brackets and hardware
  • Fabric defects (tears, discoloration not caused by sunlight exposure, premature degradation)

6.2 Warranty Exclusions This warranty does not cover:

  • Damage resulting from improper installation or failure to follow installation instructions
  • Damage caused by accidents, misuse, abuse, or negligence
  • Normal wear and tear, including gradual fabric fading due to UV exposure
  • Damage caused by unauthorized repairs, alterations, or modifications
  • Damage caused by extreme weather conditions, natural disasters, pests, or animals
  • Products used in commercial or non-residential applications
  • Cosmetic damage that does not affect product functionality

6.3 Warranty Claims To make a warranty claim, contact BACKINFIVE customer support at support@backinfive.com with your order number, original invoice, and documentation of the issue (photos or video). Claims will be reviewed within three (3) business days. If approved, BACKINFIVE will repair or replace the defective product at our discretion.

6.4 Limitation of Warranty THIS WARRANTY IS EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. BACKINFIVE'S LIABILITY UNDER THIS WARRANTY IS LIMITED TO REPAIR OR REPLACEMENT OF THE DEFECTIVE PRODUCT. IN NO EVENT SHALL BACKINFIVE BE LIABLE FOR INCIDENTAL, CONSEQUENTIAL, INDIRECT, SPECIAL, OR PUNITIVE DAMAGES.

7. LIMITATION OF LIABILITY

7.1 Maximum Liability TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BACKINFIVE'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR YOUR PURCHASE OF PRODUCTS SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

7.2 Exclusion of Damages IN NO EVENT SHALL BACKINFIVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF USE, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER INTANGIBLE LOSSES, EVEN IF BACKINFIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.3 Exclusions for Certain Jurisdictions Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, BACKINFIVE's liability is limited to the greatest extent permitted by law.

8. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless BACKINFIVE LLC, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or related to:

  • Your use or misuse of BACKINFIVE products
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Inaccurate information provided by you during the ordering process
  • Improper installation or failure to follow installation instructions
  • Any negligent or wrongful conduct by you or anyone using your products

9. INTELLECTUAL PROPERTY

9.1 Ownership All content on the Site, including but not limited to text, graphics, logos, images, videos, software, trademarks, service marks, and trade names (collectively, "Content"), is the property of BACKINFIVE LLC or its licensors and is protected by U.S. and international copyright, trademark, and other intellectual property laws.

9.2 Limited License You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Site and Content for personal, non-commercial purposes only. You may not:

  • Reproduce, distribute, modify, create derivative works of, publicly display, or publicly perform any Content without prior written permission from BACKINFIVE
  • Use any Content for commercial purposes
  • Remove or alter any copyright, trademark, or other proprietary notices
  • Use automated systems (bots, scrapers, etc.) to access the Site

10. DISPUTE RESOLUTION AND GOVERNING LAW

10.1 Governing Law These Terms and any disputes arising out of or related to these Terms or your use of the Site or purchase of products shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

10.2 Arbitration Agreement Any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or your purchase of products (collectively, "Disputes") shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall take place in San Mateo County, California. Judgment on the arbitration award may be entered in any court having jurisdiction.

10.3 Class Action Waiver YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND BACKINFIVE INDIVIDUALLY. TO THE FULLEST EXTENT PERMITTED BY LAW, (1) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (2) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED ON A CLASS-ACTION BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (3) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

10.4 Exceptions to Arbitration Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or confidential information.

10.5 Statute of Limitations You agree that any claim or cause of action arising out of or related to these Terms or your use of the Site must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

11. PRIVACY

Your use of the Site and purchase of products is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

12. THIRD-PARTY SERVICES AND LINKS

The Site may contain links to third-party websites, services, or resources that are not owned or controlled by BACKINFIVE. We are not responsible for the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that BACKINFIVE shall not be liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services.

13. INSTALLATION SERVICES

BACKINFIVE may provide referrals to third-party installation service providers. These providers are independent contractors and are not employees, agents, or representatives of BACKINFIVE. BACKINFIVE does not guarantee the quality, timeliness, or safety of any third-party installation services. Any agreements or disputes with installation service providers are solely between you and the service provider. BACKINFIVE disclaims all liability for any acts, omissions, or negligence of third-party installers.

14. FORCE MAJEURE

BACKINFIVE shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, labor disputes, supply chain disruptions, pandemics, government actions, or failures of third-party carriers or suppliers.

15. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. WAIVER

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision. BACKINFIVE's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17. ENTIRE AGREEMENT

These Terms, together with our Privacy Policy and any other legal notices or agreements published on the Site, constitute the entire agreement between you and BACKINFIVE regarding your use of the Site and purchase of products, and supersede all prior or contemporaneous agreements, understandings, and communications, whether oral or written.

18. ASSIGNMENT

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of BACKINFIVE. BACKINFIVE may assign these Terms at any time without notice to you.

19. HEADINGS

The headings used in these Terms are for convenience only and shall not affect the interpretation of these Terms.

21. MOBILE MESSAGING TERMS

By providing your mobile phone number to BACKINFIVE LLC through the Site, checkout process, pop-up forms, order placement, account registration, keyword opt-in, customer service interaction, or any other method, you expressly consent to receive recurring automated and non-automated text messages from BACKINFIVE LLC to the mobile number provided. These messages may include, without limitation, promotional and marketing communications, special offers, abandoned cart reminders, product announcements, order confirmations, order updates, shipping notifications, delivery alerts, customer service responses, warranty information, review requests, and other transactional or operational messages related to your relationship with BACKINFIVE. Consent to receive text messages is not a condition of any purchase.

Message frequency may vary. Message and data rates may apply depending on your mobile carrier and service plan. BACKINFIVE is not responsible for any charges imposed by your carrier for text messaging services.

You may opt out of receiving marketing text messages at any time by replying STOP to any message you receive from us. After you send STOP, you may receive one additional confirmation message confirming that you have been unsubscribed. You may also reply HELP to any message for assistance. For additional support, you may contact support@backinfive.com. Opting out of marketing messages does not prevent you from receiving transactional or service-related messages necessary to fulfill your orders or respond to your inquiries.

You represent that you are the authorized subscriber or customary user of the mobile number you provide and that you are authorized to consent to receive text messages at that number. You agree to notify BACKINFIVE promptly if your mobile number changes. You agree to indemnify and hold harmless BACKINFIVE from any claims, liabilities, damages, or expenses arising from your provision of a mobile number that you are not authorized to use or from your failure to update your contact information.

Text messages may be sent using an automatic telephone dialing system or other automated technology. Delivery of text messages is subject to effective transmission by your mobile carrier and is not guaranteed. Carriers are not liable for delayed or undelivered messages. BACKINFIVE is not responsible for message delays, delivery failures, or technical issues beyond its reasonable control.

Mobile messaging services are offered only to users located within the United States. BACKINFIVE reserves the right to modify, suspend, or terminate its mobile messaging program or any part thereof at any time without notice.

All mobile messaging communications are subject to these Terms and Conditions, including but not limited to the limitations of liability, warranty disclaimers, dispute resolution provisions, arbitration agreement, and class action waiver contained herein. To the fullest extent permitted by law, BACKINFIVE shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or relating to participation in the mobile messaging program. Participation in the mobile messaging program constitutes your agreement to these Mobile Messaging Terms and to the Terms and Conditions in their entirety.
